Application

  1. A corporation may apply for registration as a professional corporation under the Medical Act (the "Act") on the form approved by the Registrar or in any other manner acceptable to the Registrar establishing compliance with the requirements for registration.
     
  2. The licensing period for a professional corporation is the calendar year.

  3. All applications, notices and other documents submitted to Council or the Registrar on behalf of a corporation must be certified by a member in good standing of the College who is a director of the corporation.
     
  4. An application for registration must include:

    1. a copy of the corporation's certificate and articles of incorporation or other constating documents;
    2. the address of the registered office and medical offices of the corporation;
    3. the names and addresses of the directors of the corporation;
    4. the names and addresses of the members of the College who will practice medicine on behalf of the corporation;
    5. statements confirming that the corporation is in good standing under the Business Corporations Act (New Brunswick) and the laws of its incorporating jurisdiction;
    6. statements establishing that the corporation is complying with the provisions of the Act; and
    7. payment of required fee.


    Notice of Change
     

  5. A professional corporation shall inform the Registrar of any change in the particulars set forth in paragraph 4 on the form approved by the Registrar or in any other manner acceptable to the Registrar within fifteen (15) days of the change.

    Renewal 

  6. Prior to November 1st in each year, the Registrar shall mail to each professional corporation a notice advising of the requirement to renew its license for the next calendar year. 

  7. A professional corporation must apply for renewal of its license prior to December 1st in each year in the form approved by the Registrar or in any other form acceptable to the Registrar with payment of the required fee.


    Issuance of License
     

  8. If the Registrar is satisfied that the applicant is complying with the Act, by-laws and regulations of the College, the Registrar shall issue a license or license renewal in the form approved by Council.

    Maintenance of Records 

  9. The Registrar shall maintain a record of the following information with respect to each professional corporation:

    1. the name, the registered office, medical offices and the corporate number of the professional corporation;
    2. the directors of the corporation;
    3. the members of the College practising medicine on behalf of the corporation;
    4. the date of issuance of the original license to the professional corporation;
    5. each date of renewal of the license of the professional corporation; and
    6. other particulars directed by the Council or the Registrar considers appropriate.

    Suspension of License 

  10. The Registrar may suspend the license of a professional corporation if satisfied that the professional corporation is not complying with the Act. 

  11. The Registrar may reinstate the license of a professional corporation that has been suspended by the Registrar for non-compliance with the Act if satisfied that the professional corporation is complying with the Act

  12. The Registrar shall notify the professional corporation and each medical practitioner associated with the professional corporation, and all other parties the Registrar considers appropriate, that the license of a professional corporation has been revoked, suspended or expired. 

  13. If Council has ordered that the license of a professional corporation be suspended for a fixed period or until the occurrence of some specified event under the Act, the license may be reinstated by the Registrar at the conclusion of the period or on the occurrence of the specified event if the Registrar is satisfied that:

    1. the professional corporation is complying with the Act, by-laws and regulations;
    2. the fixed period of suspension has expired or the specified event has occurred; and
    3. the professional corporation has complied with all orders and conditions set by the Council for its reinstatement. 

     Corporate or Firm Name 

  14. The name of a professional corporation may contain:

    a. the surnames, or the surnames and any combination of the given names or initials and professional designation, of one or more members of the College who are shareholder or directors of the corporation, or who are medical practitioners associated with the professional corporation or;

    b. the words "Medical Clinic" or words with a similar meaning together with names referenced in subparagraph 14.a or words establishing a geographical location or area of practice; and

    c. other words that indicate in a manner acceptable to the Registrar that the corporation is engaged in the practice of medicine;

    followed by the words "Professional Corporation" or "Corporation Professionelle", "Prof. Corp." or "Corp. Prof.", or the letters "P.C." or "C.P.".

  15. A professional corporation may carry on the practice of medicine in partnership with other members of the College or other licensed professional corporations under a firm name approved by the Registrar that indicates in a manner acceptable to the Registrar that the corporation is engaged in the practice of medicine.
